Anti Corruption Clause

1. Both parties are clear and willing to strictly abide by the laws and regulations of the People's Republic of China on anti commercial bribery. Both parties are clear that bribery and corruption in any form will violate the law and will be severely punished by the law

2. Neither the Demander nor the Supplier shall demand, accept, provide or give any benefits other than those specified in the Contract to the other party or its agent or other relevant personnel, including but not limited to explicit deduction, secret deduction, cash, shopping cards, physical objects, securities, tourism or other non-material benefits. However, if such benefits belong to industry practices or common practices, they must be clearly stated in the Contract

3. The Demander strictly prohibits any commercial bribery of its handling personnel. Any of the acts listed in the second paragraph of this article committed by the Demander's agent is in violation of the Demander's company system, and will be punished by the Demander's company system and national laws

4. The Demander solemnly reminds that the Demander opposes any of the acts listed in Article 2 of this clause with any third party other than the Supplier or its handling personnel for the purpose of this contract. Such acts are in violation of national laws and will be punished by national laws

5. If one party or one party's agent violates the provisions of paragraphs 2, 3 and 4 above and causes losses to the other party, it shall be liable for damages

6. The "other relevant personnel" mentioned in this article refer to the personnel who have direct or indirect interest in the contract other than the operator of the supplier, including but not limited to the relatives and friends of the operator of the contract
